Licence offer
Version dated October 27, 2026
An offer to conclude an agreement for the business use of Delayou by legal entities and individual entrepreneurs.
1. Parties and purpose
MOBILNYE RESHENIYA LLC (ООО «МОБИЛЬНЫЕ РЕШЕНИЯ»), Tax ID 6320055779, company registration number 1216300009969, the Licensor, offers legal entities and individual entrepreneurs a licence agreement on the terms below. A customer accepting this offer is referred to as the Licensee.
The agreement covers business use of Delayou. A person purchasing licences on behalf of a company or individual entrepreneur confirms their authority to act for that customer.
2. Subject matter and permitted use
The Licensor holds the rights to the Delayou computer program and grants the Licensee a non-exclusive licence to use it through remote Internet access. Intellectual property rights in the program remain with the Licensor.
The Licensee may use the features included in the selected licences to work with data, create and process records and documents, organise workflows and grant access to authorised users within the purchased licence scope. Available modules and licence quantities are defined by the billing order.
The licence territory is worldwide. The licence lasts for the trial or paid period. Source code and ownership of intellectual property rights are not transferred. Rights not expressly granted remain with the Licensor; transferring licences to third parties requires a separate agreement.
3. Acceptance of the offer
This document is a public offer. The Licensee reviews its terms before activating trial access or paying for licences. Activating the free trial constitutes acceptance for trial use. When the agreement is first concluded, payment for selected licences constitutes full and unconditional acceptance of the offer for that order. A new version of an existing agreement requires separate agreement under section 13; a subsequent payment does not, by itself, replace that consent.
The selected plan, licences, paid period and total amount are recorded when the order is placed in billing and define the scope of use granted. Payment is made by invoice or bank card. A separately signed paper agreement is not required to accept the offer.
Consent to recurring payments is obtained separately when they are enabled. Accepting the offer or using the free trial does not, by itself, constitute consent to recurring bank card charges.
4. Free trial
New customers receive a free 15-day trial starting when trial access is granted. The licence for this period is provided without charge.
To continue using paid features after the trial, the Licensee selects a plan and pays for the required licences. The free period does not form part of the licence fee.
5. Plans, periods and licence fees
The Maximum (Максимальный) plan provides full access to Delayou. Under the Modular (Модульный) plan, the Licensee pays only for selected modules. The licence scope and quantity are specified in billing when the order is placed.
The minimum paid period is 1 month. Advance payment discounts are 5% for 3 months, 10% for 6 months, 15% for 12 months and 20% for 2 years (24 months).
The licence fee is determined by the prices of the selected plan and licences in billing, taking into account the paid period and applicable discount. The total amount and applicable tax treatment are specified on the invoice or payment form before payment. Price changes for future periods do not change the price of an already paid period.
Payment, delivery and refund terms supplement this offer regarding payments and access provision.
6. Payment methods and history
Payments are made in Russian roubles, with 100% advance payment for the selected period. Invoice payments are recorded after funds reach the Licensor's bank account; card payments are recorded after the payment gateway confirms a successful transaction.
By invoice: the Licensee generates an invoice for the selected plan and licences in the billing section of the Delayou control panel and pays using the bank details shown on the invoice.
By bank card: the Licensee selects card payment in billing and is redirected to the Tochka Bank payment gateway to enter payment details and confirm the transaction.
Payment history and payment status are always available in the billing section of the control panel. If payment is not shown or access is not provided, create a support request through the application or email info@delayou.biz with the payment date, amount and transaction reference.
7. Automatic renewal and recurring payments
Automatic renewal is available only for bank card payments with recurring payments enabled. Charges require the Licensee's separate consent. The frequency, amount or calculation method, and charging terms are specified before automatic renewal is enabled.
Invoice payments do not involve automatic debits. The Licensee generates and pays an invoice for the next period separately.
The Licensee may disable automatic renewal and withdraw consent to future charges by creating a support request through the application or emailing info@delayou.biz with company and workspace details. Withdrawal takes effect upon receipt: registration of the support request or arrival of the email at that address, regardless of support working hours. No further recurring charges are made from that moment; the general support response time does not postpone stopping charges. Disabling automatic renewal does not end the licence for the remainder of the already paid period and does not, by itself, entitle the Licensee to a refund.
8. Access and licence duration
Access is provided electronically through the Delayou account once payment is confirmed or trial access is activated. No physical media, courier delivery or postal shipping are involved.
The paid licence duration is determined by the period selected in the order. Licence validity dates are shown in billing. Renewal requires payment for the next period or a confirmed recurring payment where automatic renewal is enabled.
The right to use the relevant paid features ends when the trial or paid period expires unless the next period is paid for. If paid features are unavailable, the Licensee may contact the Licensor to check payment and restore access within the purchased licence scope.
Workspace data is retained for 6 months after all active workspace licences expire so that work can be resumed, except where earlier deletion is lawfully requested by the Licensee or required by law. Paying for a new period before this time expires restores access to retained data within the selected licence scope. If licences are not renewed, data is deleted after 6 months; the only exception is information that must be kept by law, with processing restricted to that purpose.
The Licensee may request earlier deletion. Personal data is subject to the timeframes and procedures in the data processing agreement and applicable law. Retention after licence expiry does not extend free access to paid features.
9. Program use and data
The Licensee uses the program within the rights granted, safeguards account credentials and manages access for its users. Suspected unauthorised access must be reported to the Licensor.
The Licensee is responsible for the lawful upload and processing of its data and for having the necessary rights and legal grounds for its use. Uploading data does not transfer ownership of the Licensee's materials to the Licensor.
For personal data uploaded by the Licensee to its workspace, the Licensee acts as the operator and the Licensor processes data on its instructions. The data processing agreement is an annex and an integral part of this offer. It applies upon acceptance of the offer and submission of personal data for processing in the program, including during the trial. Processing of website visitors' and customer representatives' data for contracting, billing and support is governed by the privacy policy, under which the Licensor acts as an independent operator.
The parties keep non-public data and documents received in performing the agreement confidential, restrict access to authorised persons and do not disclose them without a lawful basis. This does not cover public information or disclosure required by law. Personal data is also governed by the data processing agreement.
10. Support, maintenance and updates
The Licensor provides round-the-clock access to the program except during technical and preventive maintenance. Planned work and expected restrictions are communicated through the program or the Licensee's contact details. During emergency maintenance, information about incidents and restoration is provided as it becomes available.
Updates are included in the right to use the program within the paid plan and licence period and are governed by the agreement. Updates and maintenance are not grounds for arbitrarily reducing the scope of already paid rights.
Support requests can be submitted through the program or to info@delayou.biz. Requests are processed on working days from 09:00 to 17:00 Moscow time. Support is provided in Russian.
The standard response time is up to 3 working days from receipt. The response includes a solution, next steps or timeframes, or a request for diagnostic information. The response time is not a guarantee that every issue will be resolved within the same period. Working hours and general response times do not change when withdrawal of recurring payment consent takes effect or the specific obligations and deadlines under the data processing agreement.
Include your organisation and workspace, describe the issue and steps to reproduce it, and attach screenshots where needed without passwords or payment secrets. The Licensee is responsible for its Internet connection and devices.
11. Discontinuing use and refunds
The licence fee is paid for the right to use the program during the selected period, rather than for a number of logins or actual user actions. Voluntarily stopping use before the paid period ends does not result in recalculation or a refund for the unused period.
This provision does not restrict either party's rights and does not apply where a refund is required by applicable law. Disputed, erroneous or duplicate payments are reviewed at the Licensee's request based on the circumstances of the transaction.
Create a support request through the application or email info@delayou.biz with the company name, Tax ID, workspace, payment date and amount, transaction reference and reason for the request. Do not send full card numbers, CVC/CVV or verification codes. Refund eligibility, amounts and timeframes, where applicable, are governed by the agreement and applicable law.
Once grounds for a refund are confirmed, the Licensor submits the refund to the bank within 10 working days, unless a shorter statutory period applies. This period starts on the date the grounds are confirmed. Card payments are refunded against the original transaction through the payment gateway to the card used to pay; cash refunds are not made. Invoice payments are refunded to the payer's bank account. The time for the funds to reach the account depends on the bank and payment system. The Licensor notifies the customer through the support request or by email once the refund is submitted.
12. Liability and disputes
The parties are liable for breaches of the agreement under Russian law. Granting a licence does not guarantee particular commercial results for the Licensee.
The parties first seek to resolve disagreements by contacting each other. If no resolution is reached, the dispute is heard by a competent court under Russian law. Mandatory claims procedures and timeframes are governed by applicable law.
13. Offer version and communications
An order is governed by the versions of the offer and data processing agreement accepted by the Licensee. A new version applies only after review and express consent through a separate confirmation in the program or written agreement between the parties. Publication, continued use, automatic renewal or an automatic charge do not, by themselves, constitute acceptance of a new version.
Until a new version is agreed, previously accepted terms, including the data processing agreement, continue to govern the existing relationship and automatic renewals. New terms do not retroactively change an already paid period. Changes to agreed recurring payment terms also require the Licensee's separate consent before they apply.
Agreement-related requests may be submitted through the application's support interface or using the parties' contact details in the control panel and this offer. The Licensee keeps its company and contact details up to date. The English version is provided for convenience; the Russian version prevails in the event of differences.
